END USER LICENSE AGREEMENT (EULA)
This End-User License Agreement (EULA) is a legal agreement between you (either an individual or an organization) and the mentioned author (Duoserve.com) of this Software for the software product identified above, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (“ScheduFlow”).
By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bounded by the terms of this EULA.
If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT.
Changes to this EULA, termination, and SOFTWARE PRODUCT changes
Duoserve reserves the right, in its sole and absolute discretion, to revise, update, change, modify, add to, or delete certain terms of this EULA for security, legal, best practice or regulatory reasons. Duoserve will do its best to keep EULA changes to a minimum. Such changes will be effective with or, as applicable, without prior notice to You. You can review the most current version for the particular product you are installing on duoserve.com. You are responsible for checking this EULA periodically for changes. If any future changes to this EULA are unacceptable to You or cause You to no longer be in agreement or compliance with this EULA, You may terminate this EULA but must immediately uninstall the Product and destroy all copies of the Product. Your continued use of the Product following any revision to this EULA constitutes Your complete and irrevocable acceptance of any and all such changes. The termination of this EULA by either party does not imply or require Duoserve to issue a refund or compensate you in any form (including providing support for the product) for amounts already invoiced or agreed upon in any financial agreements. If there are any free versions of this product available and used by You, You must still comply with all terms of this EULA unless otherwise stated in writing by Duoserve or superseded in any other agreements for the free product. In some cases if there is a free version or a different edition of the products available it may have a different EULA (ex. Mobile apps, Different version/edition…). We may reference this EULA when installing free or different editions of the product but it is your responsibility to verify that various editions are utilizing this EULA or their own EULA agreements. For example our mobile version may have different terms or our free desktop editions if any are available may have different terms. If you have any questions regarding EULA agreements with Duoserve please inquire prior to installing the product. Duoserve may modify the Product for any reason or without any specific reason, at any time and at its entire discretion, in particular for technical reasons such as updates, maintenance operations and/or resets to improve and/or optimize the SOFTWARE PRODUCT. Updates may include the removal of features already in the current or previous versions. You agree that the SOFTWARE PRODUCT may install or download the modifications automatically. You agree that Duoserve may stop supporting previous versions of the SOFTWARE PRODUCT upon availability of an updated version unless otherwise specified by any other written agreements between You and Duoserve.
SOFTWARE PRODUCT LICENSE
a) ScheduFlow is being distributed as a free 30-day trial for personal, commercial use, non-profit organization, educational purpose, or other. You are NOT allowed to make a charge for distributing the free 30-day trial of this Software (either for profit or merely to recover your media and distribution costs) whether as a stand-alone product, or as part of a compilation or anthology, nor to use it for supporting your business or customers. It may be distributed freely on any website or through any other distribution mechanism, as long as no part of it is changed in any way.
Installation and Use. You may install and use an unlimited number of copies of the SOFTWARE PRODUCT during the free 30 day trial. After that period, you can choose to uninstall the SOFTWARE PRODUCT or visit our website to subscribe for the paid version to continue using the SOFTWARE PRODUCT past the free trial period.
Reproduction and Distribution. You may reproduce and distribute an unlimited number of copies of the SOFTWARE PRODUCT; provided that each copy shall be a true and complete copy, including all copyright and trademark notices, and shall be accompanied by a copy of this EULA.
Copies of the SOFTWARE PRODUCT may be distributed as a standalone product or included with your own product as long as The SOFTWARE PRODUCT is not sold or included in a product or package that intends to receive benefits through the inclusion of the SOFTWARE PRODUCT.
Update and Maintenance
ScheduFlow updates for paid subscribers are FREE of charge, unless there are specific features that are add-ons and are explicitly described by Duoserve as separate features, not part of its standard updates.
Separation of Components.
The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one computer.
You may permanently transfer all of your rights under this EULA, provided the recipient agrees to the terms of this EULA.
Without prejudice to any other rights, the Author of this Software may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.
The Author of this Software expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT and any related documentation is provided “as is” without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with you.
No Liability for Damages.
In no event shall the author of this Software be liable for any special, consequential, incidental or indirect damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this product, even if the Author of this Software is aware of the possibility of such damages and known defects.
